1. About NexaLab

NexaLab is a regional innovation lab that provides shared AI, software, and engineering capabilities for companies, educational institutions, and partners in the Kempen region. Our mission is to help SMEs accelerate digital transformation through joint innovation, shared components, expert advisory support, and partnerships.  

NexaLab operates through:

  • An operational BV, and
  • A STAK (Stichting Administratiekantoor) that controls 100% of the BV for stable governance.  

These Terms govern the use of:

  • Our website and digital materials
  • Participation in programs, training, or events
  • Use of shared tools, components, or innovation resources

2. Acceptance of Terms

By using our website or services, you confirm that:

  • You are at least 18 years old or legally authorised by your organisation
  • You have read and agree to these Terms
  • You will use our services only in compliance with applicable laws

If you do not agree, please discontinue use of the website and services.

3. Services Provided

NexaLab offers several categories of services, including but not limited to:

  • Custom AI and software development projects
  • Use of shared AI tools, workflows, and reusable components  
  • Expert advisory and engineering support
  • Training, workshops, and educational collaboration
  • Student internships, research, and school-industry assignments  

All services may require separate agreements, project contracts, or participation terms.

4. Partner Membership & Participation

Companies may join as:

  • Founding partners
  • Annual members
  • Certificate holders (via the STAK)

Participation benefits (e.g., project priority, access to shared components, roadmap influence) are defined in separate membership or certificate agreements and not guaranteed simply by using the website.  

The STAK controls voting rights and strategic decisions to ensure fairness and long-term stability.  

5. Intellectual Property (IP)

5.1 Ownership

Unless explicitly agreed otherwise:

  • All shared components, software frameworks, and AI tools developed under the NexaLab umbrella remain property of NexaLab (BV/STAK).
  • Custom project deliverables may be governed by project-specific agreements.
  • Website content (text, graphics, trademarks) is owned by NexaLab and protected under applicable laws.

5.2 Permitted Use

Partners and participants may use shared tools and components only for internal business purposes and only under the conditions defined by NexaLab. Redistribution, resale, or reverse engineering is prohibited without explicit written permission.

5.3 IP Protection

NexaLab reserves the right to enforce IP rights and revoke access to materials if terms are violated. This ensures fair access and protection for all participating companies.  

6. User Responsibilities

Users agree not to:

  • Misuse the platform, tools, or shared innovation resources
  • Upload harmful, infringing, or illegal content
  • Attempt to access restricted systems or data
  • Misrepresent their identity or organisation
  • Use NexaLab materials for competing commercial purposes without approval

Violations may lead to suspension or termination of access.

7. Website Content & Accuracy

We strive to keep all information on our website accurate and up-to-date. However:

  • Content is provided “as-is”
  • We do not guarantee completeness, accuracy, or uninterrupted availability
  • Roadmaps, services, and features may change as NexaLab evolves  

8. Third-Party Links

Our website may include links to external websites, such as communication tools (e.g., WhatsApp contact links). NexaLab is not responsible for the content, privacy standards, or practices of third-party platforms.
